This agreement is between you and Eling AI regarding the use of Eling AI services (including but not limited to website, mobile applications, API interfaces, etc.). This agreement constitutes the foundational legal document for your use of Eling AI services.

2. Service Description

Eling AI is an intelligent assistant service based on artificial intelligence technology, with main features including:

• AI conversation and permanent memory functionality
• Voice interaction and recognition services
• Smart reminders and proactive care
• Multi-device sync and data storage
• Image recognition and text processing

We reserve the right to modify, suspend, or terminate some or all services at any time without prior notice.

3. Account Registration & Security

3.1 Registration Eligibility

You confirm and warrant that:

• You have full legal capacity
• The registration information you provide is true, accurate, and complete
• You will promptly update your personal information to maintain accuracy

3.2 Account Security

• You are responsible for keeping your account password secure and are accountable for all activities under your account
• If you discover unauthorized account access or security risks, you must notify us immediately
• You may not transfer, lend, or authorize others to use your account

4. User Conduct

4.1 Prohibited Activities

You agree not to engage in the following activities when using Eling AI services:

• Activities that violate applicable laws and regulations
• Infringing upon the intellectual property, privacy, reputation, or other legitimate rights of others
• Publishing or distributing obscene, pornographic, violent, terrorist, or hateful content
• Using the service for fraud, harassment, or spam distribution
• Attempting to interfere with or disrupt normal service operations or network security
• Unauthorized access to other users' accounts or system data
• Improper use of automated tools (bots, crawlers, etc.) to access the service
• Any activity that may harm Eling AI or other users' interests

4.2 Content Guidelines

You retain ownership of content you upload, publish, or transmit through Eling AI services, but grant Eling AI a limited, non-exclusive license to use your content as necessary to provide and improve services.

5. Intellectual Property

5.1 Our Rights

The intellectual property of Eling AI services and related content (including but not limited to software, interface design, icons, documentation) belongs to Eling AI. Without written permission, you may not:

• Copy, modify, translate, or reverse-engineer Eling AI software
• Remove or modify any copyright, trademark, or other ownership notices
• Use Eling AI services for commercial resale or sub-licensing

5.2 Your Rights

You retain intellectual property rights to your original content. You grant Eling AI a non-exclusive, royalty-free license to use your content to provide and improve services.

6. Service Fees

Eling AI offers basic free services and premium paid services:

• Free Services: Basic AI conversation, limited memory storage, and other features
• Paid Services: Advanced features, larger storage, priority response, etc.

Specific pricing for paid services is as displayed on the relevant pages. We reserve the right to adjust pricing, and will notify you through appropriate channels before any changes take effect.

7. Disclaimer

To the maximum extent permitted by law:

• Eling AI services are provided on an "as is" and "as available" basis, without any express or implied warranties
• We do not guarantee that services will be uninterrupted, timely, secure, or error-free
• No guarantees are made regarding the accuracy, completeness, or suitability of AI-generated content
• We are not liable for service interruptions caused by force majeure, system maintenance, network failures, etc.
• Our liability for any losses you suffer from using or being unable to use the service is limited to fees you have paid (if any)

8. Termination

8.1 Termination by You

You may stop using Eling AI services at any time, or request account deletion.

8.2 Termination by Us

We may suspend or terminate your account under the following circumstances:

• Violation of any terms of this agreement
• Engaging in illegal or fraudulent activities
• Long-term inactivity (no login for more than 12 months)
• As required by laws, regulations, or government mandates

8.3 Consequences of Termination

Upon termination of this agreement, your account access will be revoked. However, we may retain certain data to fulfill legal obligations or resolve disputes.

9. Dispute Resolution

• This agreement is governed by the laws of the People's Republic of China
• Any disputes arising from or relating to this agreement shall be resolved through friendly negotiation
• If negotiation fails, either party may file a lawsuit with the competent people's court at Eling AI's location

10. Agreement Modifications

We reserve the right to modify this agreement at any time. The modified agreement will be published on our website or application, and significant changes will be notified separately. Your continued use of the service after modifications constitutes acceptance of the revised agreement.

11. Miscellaneous

• This agreement constitutes the complete agreement between both parties regarding service use, superseding all prior oral or written agreements
• If any provision of this agreement is deemed invalid or unenforceable, the validity of the remaining provisions shall not be affected
• Our failure to exercise or enforce any right or provision of this agreement does not constitute a waiver of that right or provision
• Headings in this agreement are for convenience only and do not affect the interpretation of provisions
